Terms of Service

1. Scope and Contracting Party

These Terms of Service ("Terms") govern the use of the "manualworks" platform (accessible at manualworks.de), operated by Yanyi FZ-LLC, Al Hamra Industrial Zone-FZ, FOB50677 Ras Al Khaimah, United Arab Emirates ("Provider").

By registering for and using the platform, you ("User") agree to these Terms. Conflicting terms and conditions of the User do not apply.

2. Description of Services

manualworks is a web-based platform for AI-assisted translation of Instructions for Use (IFU) and technical documentation, particularly for medical devices. The platform provides:

• AI-powered translation drafts in 50+ languages
• Format preservation for Word documents (DOCX)
• Translation Memory (TM) for reusing previous translations
• Terminology management and glossary features with MDR/IVDR-specific terms
• Integrated quality assurance (QA) including regulatory compliance checks
• Side-by-side editor for reviewing and editing translations
• Export in DOCX, PDF, TMX, XLIFF, and CSV formats

Important notice: All translations generated by the platform are machine-generated drafts. They do not replace professional translation or expert review. The User is solely responsible for reviewing, approving, and using translations, particularly in regulatory contexts (e.g., MDR 2017/745, IVDR 2017/746).

3. Registration and User Account

A valid email address is required to register. The User must verify their email address via a verification link. The User is obligated to keep login credentials confidential and to notify the Provider immediately of any unauthorized use of their account.

Each User may maintain only one account. The Provider reserves the right to suspend accounts in cases of suspected misuse.

4. Pricing and Payment

manualworks operates on a token-based billing model. Tokens are purchased in packages and consumed when generating translations.

4.1 Token Packages

The Provider offers various token packages as one-time purchases. Current pricing and package sizes are available on the platform under billing settings. Tokens do not expire.

4.2 Trial Credit

New users receive a free trial credit. The amount of trial credit is displayed during registration. There is no entitlement to trial credit.

4.3 Payment Processing

Payments are processed through the payment service provider Stripe. Stripe's terms of service additionally apply. All prices are stated in Euros and are exclusive of applicable VAT where required.

4.4 Token Consumption

Token consumption per translation depends on document length, complexity, and target language. A cost estimate is displayed before each translation. Actual consumption may vary slightly.

5. Intellectual Property

5.1 User Content

The User retains all rights to uploaded documents and generated translations. The Provider receives a limited license to process documents solely for the purpose of delivering the service.

5.2 Platform and Software

All rights to the platform, its software, design, and provided content (including glossaries and regulatory terminology) remain with the Provider. The User receives a non-exclusive, non-transferable right to use the platform in accordance with these Terms.

6. User Obligations

The User agrees to:

• Have all machine-generated translations reviewed by qualified professionals before use
• Not upload content that violates applicable law or infringes third-party rights
• Not misuse the platform, including automated bulk requests
• Provide accurate and current contact information
• Ensure account security through appropriate passwords

7. Availability and Maintenance

The Provider endeavors to provide the platform with the highest possible availability. There is no guarantee of uninterrupted operation. Maintenance windows will be announced in advance where possible.

8. Limitation of Liability

The Provider shall be liable without limitation only for intentional misconduct and gross negligence. In cases of slight negligence, liability is limited to foreseeable, contract-typical damages arising from breach of material contractual obligations.

The Provider assumes no liability for:

• The accuracy, completeness, or regulatory compliance of machine-generated translations
• Damages resulting from the use of unreviewed translations in regulatory contexts
• Failures or errors of individual system components (e.g., AI models, payment providers)
• Data loss where the User has failed to maintain adequate backups

Liability for damages arising from injury to life, body, or health remains unaffected.

9. Term and Termination

The contract is concluded for an indefinite period. Either party may terminate the contract at any time without notice. Purchased but unused tokens expire upon termination.

The Provider is entitled to suspend access or terminate the contract with immediate effect in the event of a breach of these Terms.

10. Modifications to Terms

The Provider reserves the right to modify these Terms at any time. Changes will be communicated to the User by email. If the User does not object within four weeks of notification, the modified Terms are deemed accepted. The notification will specifically reference this right of objection.

11. Final Provisions

These Terms are governed by the laws of the United Arab Emirates, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Ras Al Khaimah, UAE, to the extent permitted by law.

Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that most closely reflects its economic purpose.
